Terms of Service

These Terms of Service ("Terms") govern your use of Shorestack Books ("the Service"), a bookkeeping application operated by Days Management LLC ("we," "us," or "our"). By creating an account or using the Service, you agree to these Terms.

1. Description of Service

Shorestack Books is a downloadable desktop bookkeeping application for macOS, designed for freelancers, e-commerce founders, and small business owners. The Service allows you to import bank statements, categorize transactions, generate financial reports, create invoices, and manage your books. The Service operates on a local-first architecture: your company file is stored on your Mac, with optional cloud synchronization that you control.

2. Eligibility

You must be at least 18 years old and capable of forming a binding legal agreement to use the Service. By using the Service, you represent that you meet these requirements.

3. Account Registration

You will receive a license key tied to the email address used at purchase. To activate the Service, you enter this license key on first launch of the desktop application. If you choose to enable optional cloud sync or manage your license across devices through the in-app account portal, you must maintain the security of your account credentials and are responsible for all activity under your account. You agree to notify us immediately of any unauthorized access to your account.

4. Acceptable Use

You agree to use the Service only for lawful bookkeeping and financial management purposes. You agree not to:

  • Use the Service for any illegal activity, including money laundering or fraud
  • Attempt to gain unauthorized access to other users' data or our systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Use automated tools to scrape, crawl, or extract data from the Service
  • Transmit malicious code or attempt to disrupt the Service
  • Share your account credentials with unauthorized third parties

5. Desktop License Terms

The desktop application is sold under a one-time purchase, per-user license model. Your purchase entitles you to the number of concurrent user activations specified in your license tier (for example, 1-user, 3-user, or 5-user).

  • One-time purchase. The desktop application is not a subscription. You pay once for the version you purchase and receive all updates for that major version.
  • License transfer. You may deactivate your license on one Mac and activate it on another at any time through the in-app account portal. There is no fee for transferring a license between devices you own.
  • Major version upgrades. Upgrade pricing is made available when a new major version is released. Your existing license continues to work on the version you purchased, without expiration.
  • Data ownership. Your company file is stored locally on your Mac and remains yours. Deactivating or terminating your license does not delete your data.

6. Your Data

You retain full ownership of all financial data, transactions, reports, and other content you create or upload to the Service ("Your Data"). We do not claim any ownership over Your Data. You grant us a limited license to store, process, and transmit Your Data solely as necessary to provide the Service to you.

You are responsible for the accuracy and legality of Your Data. The Service provides tools for categorizing transactions and generating reports, but you are ultimately responsible for verifying the accuracy of your financial records.

7. Third-Party Services

The Service integrates with third-party providers including Plaid (bank connections), Google (authentication), OpenAI (receipt scanning), and Resend (email delivery). Your use of these integrations is subject to each provider's terms of service and privacy policies. We are not responsible for the operation, availability, or data practices of these third-party services.

When you connect a bank account through Plaid, you authorize Plaid to access your financial institution on your behalf. You can revoke this access at any time through the Service.

8. Service Availability

We strive to keep the Service available at all times, but we do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. Because the Service operates locally on your device, core bookkeeping functionality remains available even when cloud services are offline.

9. Refunds and Cancellations

Every purchase is covered by a 30-day money-back guarantee. To request a refund, reply to your receipt email or write to contact@shorestack.io within 30 days of purchase. Refunds are processed to the original payment method within three business days of request, without justification required.

Duplicate charges are refunded automatically within 24 hours of detection. Refund requests received after 30 days are reviewed case-by-case and typically approved for product defects, duplicate purchases, or accidental license tier selection.

10. Not Financial or Tax Advice

Shorestack Books is a bookkeeping tool, not a financial advisor or tax preparer. The Service generates reports (including P&L, Balance Sheet, Schedule C, Schedule E, and estimated tax calculations) based on data you provide, but these should not be considered professional financial or tax advice. We strongly recommend consulting a qualified accountant or tax professional for tax filing and financial planning decisions.

11. Limitation of Liability

To the maximum extent permitted by law, Days Management LLC and its officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, damages for loss of profits, data, or business opportunities.

Our total liability for any claim arising from or related to the Service shall not exceed the amount you paid us (if any) in the twelve months preceding the claim.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not warrant that the Service will be error-free, that financial calculations will be perfectly accurate, or that the Service will meet all of your bookkeeping requirements. You use the Service at your own risk.

13. Indemnification

You agree to indemnify and hold harmless Days Management LLC from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.

14. Termination

You may stop using the Service and request account deletion at any time by contacting us. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service. Upon termination, your right to use the Service ceases, but you may export Your Data before termination using the built-in export tools.

15. Changes to Terms

We may modify these Terms from time to time. We will notify you of material changes by updating the effective date on this page. Your continued use of the Service after changes constitutes acceptance of the updated Terms.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in California.
